Freedom Writers, LLC - Writing Services Agreement (Terms & Conditions)

This Writing Services Agreement (“Agreement”) is entered into between Freedom Writers, LLC (“Company”) and you (“Client”), collectively referred to as the “Parties.”

1. Scope of Services

Freedom Writers, LLC agrees to provide personalized book printing and/or writing services for the Client. Services may include, but are not limited to, drafting, editing, copyediting, revising, compiling, formatting, and/or printing a memoir, novel, or other written work based on materials and instructions provided by the Client.

2. Client Responsibilities

The Client agrees to: – Provide original, accurate, truthful, and complete information, including personal stories, notes, documents, interviews, or other materials necessary for the project. – Submit only original material or content for which the Client has the legal right to use, and which, to the best of the Client’s knowledge, does not intentionally misrepresent facts or defame, libel, or slander any individual or group. – Respond to communications, questions, and revision requests from the Company in a timely manner. – Review drafts promptly and provide clear, consolidated feedback when requested. – Comply with all applicable laws and regulations, including international laws, and refrain from requesting the creation or publication of content that could reasonably be considered hate speech. The Company reserves the right, at its sole discretion and without obligation to provide notice or explanation, to refuse, reject, or discontinue any work it determines may fall within this category.

3. Ownership, Attribution, and Rights

Upon full payment, the Client retains full ownership of all rights, title, and interest in the completed written work. Freedom Writers, LLC waives any claim to authorship, copyright, or royalties unless otherwise agreed to in writing.

The Client agrees that the Company may include its name and/or logo within the final product solely for standard professional attribution and promotional purposes. Such attribution shall not affect the Client’s ownership or authorship of the work.

4. Confidentiality and Limited Promotional Use

The Company agrees to keep all Client information, personal details, documents, and shared materials strictly confidential. No Client information shall be disclosed, shared, or published without the Client’s prior written consent.

The Client grants the Company permission to use brief, non-identifying excerpts or high-level descriptions of the project for portfolio or marketing purposes, unless the Client requests otherwise in writing. Any such use will exclude sensitive or identifying details and will never reveal private information without explicit consent.

5. Payment Terms

Payment terms are as follows: – Full payment is due before work begins unless otherwise agreed in writing. – Additional fees may apply for work requested outside the original scope. – Any late-stage changes or edits must be paid in full prior to delivery of the completed project.

Late or incomplete payments may result in delays, suspension of services, or termination of this Agreement.

6. Revisions Policy

This Agreement includes one (1) brief preview and zero (0) full-text revisions unless otherwise specified in writing. Full-text revisions may be available at an additional cost, on a limited basis, and at the sole discretion of the Company.

7. Timeline and Delivery

The Company will provide an estimated completion timeline and/or delivery date based on the scope of the project. Timelines and/or delivery date may change due to various reasons, including, but not limited to Client responsiveness/availability for interviews, scope changes, revision requests, mail/courier delays, force majeure, etc. The Company will communicate any material timeline changes promptly.

8. Termination

Either Party may terminate this Agreement with written notice. The Client is responsible for payment for all work completed up to the termination date. All deposits and payments made are nonrefundable.

9. Limitation of Liability and Indemnification

Freedom Writers, LLC is not responsible for any perceived similarities between characters, events, or descriptions in the written work and real persons, living or deceased, unless such information was directly provided by the Client. Any resemblance not based on Client-provided material is coincidental.

The Company shall not be held liable or responsible, in whole or in part, for any claim or legal action brought against the Client arising from the content, accuracy, legality, or ownership of any work submitted by the Client, including but not limited to claims of copyright infringement, plagiarism, defamation, or invasion of privacy.

The Client agrees to indemnify, defend, and hold harmless the Company, its officers, employees, contractors, and affiliates from and against any claims, losses, damages, liabilities, costs, or legal expenses (including reasonable attorneys’ fees) arising out of or related to the content or ownership of any work submitted by the Client.

10. Entire Agreement

This Agreement, together with any accompanying appendices or written addenda, constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous negotiations, representations, or agreements, whether written or oral.

11. Amendments

This Agreement may be amended only by a written agreement executed by authorized representatives of both Parties. Electronic confirmation, including email, shall be deemed acceptable.

12. Severability

If any provision of this Agreement is held to be unenforceable, such provision shall be modified to the minimum extent necessary to reflect the Parties’ intent, and all remaining provisions shall remain in full force and effect.

13. Ghostwriting Credit

Freedom Writers, LLC provides ghostwriting services. The Client may publish the completed work under their own name with no obligation to credit the Company. Any acknowledgment of the Company is appreciated but not required.

14. Governing Law, Dispute Resolution, and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the services provided, the Parties agree to first attempt to resolve the matter in good faith through informal negotiation.

If the dispute is not resolved through good faith negotiation, the Parties agree to submit the dispute to non-binding mediation conducted in Palm Beach County, Florida.

If the dispute remains unresolved following mediation, either Party may pursue legal action. Any such action shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and the Parties hereby consent to the personal jurisdiction and venue of such courts.

The prevailing Party in any legal action or proceeding arising out of this Agreement shall be entitled to recover reasonable attorneys’ fees and costs.

The Parties agree that any dispute resolution proceedings shall be conducted on an individual basis only. Class actions, collective actions, private attorney general actions, or any other representative proceedings are expressly waived.

15. Acceptance

By engaging the Company’s services, the Client acknowledges that they have read, understood, and agreed to all terms and conditions set forth in this Agreement.
